airEquity Highlights Third-Party Escrow Safeguard for Investor Funds

Independent custody separates investor deposits from platform operations and adds a documented layer of control before property acquisition.

DANA POINT, CA — September 13, 2026

airEquity today detailed how its independent third-party escrow process is designed to mitigate custody and unauthorized-disbursement risk for accredited investors funding fractional short-term rental property offerings.

Rather than receiving investor capital into an airEquity operating account, the platform directs investors to establish an account administered by North Capital, its third-party escrow and transaction administrator. Funds are held within that independent process while offering documents are completed and a specific property allocation is presented for investor review.

"Investor confidence should be supported by clear separation of responsibilities," said Jeremy LeClair, Managing Member of airEquity Holdings, LLC. "airEquity focuses on sourcing, purchasing, remodeling, launching and managing each property. An independent escrow company handles investor funds before acquisition, creating an important safeguard between platform operations and the custody of capital."

A documented path from deposit to ownership

The airEquity fund lifecycle is designed to give each transfer a defined purpose:

  • Investors review and sign the applicable Private Placement Memorandum, Subscription Agreement, Operating Agreement and Escrow Agreement.
  • Funds are deposited directly into an account administered by the third-party escrow provider, rather than an airEquity operating account.
  • A specific property and financial plan are presented for the investor’s review.
  • If the investor declines the allocation, funds remain in escrow for another opportunity, subject to the governing agreements.
  • After approval, funds are earmarked for shares in the property-specific LLC.
  • At closing, capital is transferred through the escrow process to the real estate closing escrow company or attorney handling the acquisition.
  • The property-specific LLC takes title, and the investor receives the applicable Class A membership interest based on the approved capital contribution.

The risks escrow is designed to mitigate

Independent escrow helps separate investor deposits from airEquity’s day-to-day operating funds, creates records of deposits and transfers, and helps ensure that disbursements follow the process described in the signed transaction documents. The structure is intended to mitigate commingling, custody, process and unauthorized-disbursement risks during the funding and acquisition period.

Escrow does not eliminate investment risk. It does not guarantee property appreciation, booking revenue, distributions, liquidity or return of principal after capital is invested. Short-term rental performance can be affected by operating costs, market demand, regulation, weather, competition and other factors. Prospective investors should review the complete offering documents and consult their own legal, tax and financial advisers.

Investor visibility

airEquity’s Safeguards page outlines the complete eight-step Investor Fund Lifecycle, from offering review and deposit into third-party escrow through property closing, title and disbursement. The platform is also preparing an automated deposit synchronization process so confirmed escrow deposits can be reflected as Queued Funds in the investor dashboard and accompanied by an investor email notification before public launch.

Annual returns vary and are not guaranteed. airEquity offerings are available only to verified accredited investors, and all real estate investing carries risk, including possible loss of principal.
